Terms of Service
1. Who we are and what these terms cover
Ovenbird is provided by [to be completed: company legal name] (tax ID [to be completed: tax ID (CIF/NIF)]), [to be completed: registered address], Spain ("we", "us"). Contact: [to be completed: legal contact email].
These terms govern the use of the Ovenbird web application, Slack app and related services (the "Service") by the organisation that creates a workspace (the "Customer") and the people it allows to use it ("Users"). The Privacy Policy, the Cookie Policy and the Data Processing Agreement form part of them.
The Service is for business use only. By creating an account you confirm that you act on behalf of a business or other organisation, not as a consumer, and that you may bind it to these terms.
2. How the contract is made
You accept these terms by ticking the acceptance box when you create an account or a workspace, or when you are asked to accept a new version. Before that, you can review your details and correct them on the sign-up screen. We keep a record of the version you accepted and when; the current and previous versions are available on request. The contract is in English. (Information given under article 27 of Spain's Law 34/2002 on information-society services.)
3. Accounts and workspaces
- The person who creates a workspace is its owner and represents the Customer. Owners and admins may invite Users, assign roles and licences, and manage billing.
- Users must keep their credentials confidential and tell us promptly about any unauthorised use.
- The Customer is responsible for what its Users do in the workspace and for the content they connect or upload.
4. What the Service does, and its AI
Ovenbird reads the Customer's documented processes and the context of work items the Customer connects (tickets, issues, messages, documents) and uses AI models to suggest next steps, answer questions, generate training material and propose edits to documents.
- You are working with AI. Answers, next steps, lessons, scenarios, summaries and suggested edits in the Service are generated by AI models (currently Anthropic's Claude). We tell you this here, when you sign up, and in the Service, in line with the transparency duties of the EU AI Act (Regulation (EU) 2024/1689, article 50).
- Suggestions, not decisions. Output is guidance generated from the Customer's own documents and data. It can be incomplete or wrong. Users remain responsible for what they do; the Customer remains responsible for its processes and for complying with the laws that apply to its business.
- Not professional advice. Nothing in the Service is legal, financial, medical, safety or regulatory advice.
- Learning records. Training results and reports support learning. They are not designed or validated to evaluate people for employment decisions (see section 5).
5. Acceptable use
The Customer and its Users must not:
- use the Service to break the law or infringe others' rights, or upload content they have no right to share;
- attempt to access other customers' data, probe or bypass the Service's security, or impose an unreasonable load;
- resell or sublicense the Service, or use it to build a competing product;
- use the Service, its outputs or learning records as the sole or decisive basis for decisions about recruiting, promoting, dismissing, allocating tasks to or evaluating the performance of workers, or for any other use the EU AI Act classifies as prohibited or high-risk, without first agreeing specific written terms with us;
- connect sources that routinely contain special categories of personal data (such as health data) without first agreeing specific written terms with us.
We may suspend access to protect the Service, the law or other customers, and will tell the Customer why unless the law prevents it.
6. Customer content and data
- The Customer owns its documents, connected data, chats, designs and training records ("Customer Content") and the output generated from them. It grants us the licence needed to operate the Service: to store, process and transmit Customer Content, including to the providers on our sub-processor list, solely to provide the Service.
- We do not use Customer Content to train AI models, and our AI provider is contractually bound not to either.
- Personal data in Customer Content is processed under the Data Processing Agreement; account and billing data under the Privacy Policy.
- The Customer can export its data at any time. When a workspace is closed we keep its data for 30 days so it can be reopened, then delete it.
7. Plans, payment and renewal
- Prices are per seat per month and exclude VAT and sales taxes, which are added at checkout based on the Customer's billing address and tax status (EU reverse charge applies where a valid VAT number is given).
- Paid plans are billed in advance, monthly or annually, through our payment provider, Stripe. Subscriptions renew automatically for the same period until cancelled. The Customer can cancel at any time in Manage → Billing; cancellation takes effect at the end of the paid period, and no refund is due for the rest of it unless the law requires one.
- Plan and seat changes during a period are prorated.
- Usage allowances (such as AI answers per seat per month) are part of the plan; when one is used up, the related features pause until the next period or an upgrade.
- If a payment fails we retry and notify the Customer; after 14 days without payment we may move the workspace to the free plan. No data is deleted because of non-payment.
- We may change prices with at least 30 days' notice by email to the workspace owner; changes apply from the next renewal.
- Free trials end on the free plan unless a paid plan is chosen; no card is needed for a trial.
8. Availability and support
We aim for the Service to be available continuously but do not guarantee uninterrupted operation. Planned maintenance is announced in advance where practical. Support is by email at [to be completed: support email] on business days (Spain). Enterprise agreements may include service levels.
9. Intellectual property
We own the Service, its software, design and brand. The Customer owns Customer Content and its output (section 6). We may use feedback to improve the Service without obligation.
10. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for these terms, except information that is public, independently developed, lawfully received from a third party, or that the law requires to be disclosed.
11. Warranties and liability
- The Service is provided "as is". To the extent the law allows, we disclaim implied warranties, including that AI output is accurate, complete or fit for a particular purpose.
- Neither party is liable for indirect or consequential loss, loss of profit, revenue or goodwill, or loss of data (other than our obligations on backups in the Data Processing Agreement).
- Each party's total liability under these terms in any 12-month period is limited to the fees the Customer paid us in that period. The cap does not apply to liability that cannot be limited by law, to breach of confidentiality, to wilful misconduct or gross negligence, or to the Customer's payment obligations.
- The Customer will indemnify us against third-party claims arising from Customer Content or from its Users' breach of section 5.
12. Term and termination
These terms apply while the Customer has a workspace. The Customer may close its workspace at any time. Either party may terminate for material breach not cured within 15 days of written notice; we may suspend or terminate immediately for serious misuse. On termination access ends, data stays exportable for 30 days and is then deleted, except billing records the law requires us to keep.
13. Changes to these terms
We may update these terms. Material changes are announced at least 30 days in advance by email to workspace owners and in the Service, and Users are asked to accept the new version at their next sign-in. If the Customer does not accept, it may close its workspace before the change takes effect.
14. Governing law and disputes
These terms are governed by Spanish law. The courts of Valencia, Spain, have exclusive jurisdiction, without prejudice to mandatory rules giving a Customer the right to sue in its own courts. Before going to court the parties will try in good faith to settle the dispute within 30 days.
15. General
These terms and the documents they refer to are the whole agreement, unless a signed enterprise agreement says otherwise, in which case it prevails. If a clause is unenforceable the rest stands. Neither party may assign these terms without the other's consent, except to a successor of its business. Notices to us go to [to be completed: legal contact email]; notices to the Customer go to the workspace owner's email.
